什么是垂直整合？ 释义

垂直整合（Vertical Integration）是一种提高或降低公司对于其投入和产出分配控制水平的方法，

也即公司对其生产投入、产品或服务的分配的控制程度。 垂直整合有两种类型： 后向整合（Backward Integration）与前向整合（Forward Integration）。 一个公司对于其生产投入的控制被称之为 后向整合。 对其产出分配的控制则被称之为 前向整合。

Michael Porter的Value Chain model[价值链模型]是对垂直整合的最佳理解与应用。 垂直整合意味着公司的价值链与其供应商、经销商价值链之间的整合水平。

如果公司将其供应商或经销商的价值链整合进自己的价值链中，则被称之为完全垂直整合（Full Vertical Integration）。 这种情况发生在公司力图扩展经营，收购了供应商或经销商的时候。 这种所谓的扩展经营，即公司意欲进入传统上由供应商或经销商经营的领域。 一种程度较低的垂直整合为 供应链优化（Supply Chain Optimization），也被称之为 供应链规划（Supply Chain Planning）。 这种整合情况发生在公司与其供应商、经销商（顾客）交换物流信息的时候。 看见： Vendor Managed Inventory[供应商管理库存]。

航空业的垂直整合也许最为典型。 现在，航空公司越来越多地执行过去由旅行社扮演的角色，就是典型的前项整合。 同样，航空公司亦亲力而为供应商的角色如飞机维护、飞行餐饮，就是典型的后向整合。 类似的例子还有，炼油公司拥有并经营石油分销渠道如加油站， 有时还进入石油勘探行业，这些都是典型的垂直整合。
 

垂直整合的起源 历史

垂直整合已经有很长的历史，但其各个时期的战略动因却不尽相同。 19世纪，公司运用垂直整合以扩大经营规模。 20世纪中叶，垂直整合的用途主要体现在稳定关键生产原料的供给。 在一些具体案例中，还应用到了交易成本经济学的相关理论，这时的垂直整合就是为了减少总成本。 该理论认为，企业执行供应商或经销商的功能，较之花费时间和金钱与供应商、经销商进行交易，要便宜得多。

随后，在20世纪末，各个行业的竞争加剧。 大公司纷纷重组，降低垂直整合水平，直接导致了垂直非一体化（Vertical Disintegration）。

信息与通信技术（ICT）的快速发展与广泛运用也促成了垂直整合的土崩瓦解，因为市场不同主体之间的交易、沟通成本由于这些技术的应用大幅降低。 与垂直整合相比，运用ICT，公司间的交易成本更低，于是出现了垂直非一体化。 此效应即为著名的“寇斯法则”（Coase's Law），亦被称之为“公司递减法则”（Law of Diminishing Firms）。 这个法则说明市场交易成本的降低，迫使公司唯有不断的缩小规模方能生存。

垂直整合的运用 应用

垂直整合通常运用于以下场合：

• 公司战略发展过程中，垂直整合往往被考虑作为一项战略选择。 例如，在供应商过于强大对公司发展造成威胁的情况下，一种战略解决方案就是大量收购供应商。
• 运用Porter的五力模式进行行业动力分析的时候，垂直整合是降低供应商和顾客议价能力的必然选择。 比较： Kraljic Model[卡拉杰克模型]。
• 垂直整合也是降低交易成本的一种方法。

垂直整合的步骤。 流程

在考虑是否采取垂直整合战略以及在多大程度上进行整合的时候，你需要作以下一些考虑：

1. 是否存在范畴经济（Economies of Scope），使得公司能够便宜地控制投入与产出？
2. 是否存在市场外在因素（Market External Factors），使得公司能够高效地控制投入与产出？
3. 是否有必要追求垄断力量？

垂直整合的优势 优点

• 规模经济。
• 范畴经济。
• 成本降低。
• 竞争性。
• 减弱供应商或顾客的威胁。
• 高度控制完整的价值链。

垂直整合的局限。 缺点

• 现实中，没有一个完全整合或完全非整合的公司。 因此，这个问题不能做两个极端的选择。 问题的要点应该是，如果优化垂直整合的程度。
• 垂直整合的程度很难通过数量化手段来得到答案。
• 当垂直整合帮助公司解决了一个麻烦的时候，由此又可能引发一系列其他的麻烦。 比较Core Competence[核心竞争力]。
• 整合后新旧业务之间的平衡很难把握。

垂直整合的假设。 条件

• 公司必须要在供应链上扩展和延伸自己所扮演的角色。
