总结

战略利益相关者管理Berman、Wicks、Kotha、Jones等人,在Edward Freeman早期研究工作的基础上,提出的利益相关者战略管理是一项工具性的利益相关者管理方法 (美国管理学会学报, 1999/10,42卷5册)。


利益相关者战略管理法认为:


为了能够确保长期股东价值最大化,管理人员要尤为注重关键利益相关者的关系。


公司的一举一动与它的每一名利益相关者都有切身联系, 谨慎管理公司的运营环境,包括与管理好与所有利益相关者的关系,是优秀企业管理的一个重要组成部分。 对公司来说,成功管理好利益相关者关系,其价值是显著的。
 

可以看出,这个管理模型的最基本的假设就是,公司决策的终极目标是取得市场成功。 公司视利益相关者为外部市场环境的一部分,所以,为了确保其收益和股东价值,必须对利益相关者加以管理。 充分关注利益相关者权益,能够避免出现公司的经营决策由于考虑不周而遭受利益相关者横亘阻挠的情况。 这种可能性是存在的,因为利益相关者控制着一定的资源,这些资源是企业执行决策所必要的(Pfeifer & Salancik,1978)。 总而言之,利益相关者管理是企业实现其经营目的的一种手段。 舍不得孩子套不住狼,为了达到目的,有些事你不得不做。 公司的目的,或者说其运营的最终结果,当然不是给所有的利益相关者带来财富, 公司经营成果的最终受益人只能是: 公司股东。 根据Donaldson、Preston(1995)以及Quinn、Jones(1995)对于这一概念的阐释,我们很容易看到,利益相关者战略管理对于企业来说,只是一种有利可图的且能够被利用的工具。 Quinn和Jones认为, “当这幅图画中包含进了工具性伦理观的内容,(利益相关者战略管理)就只能是企业管理者为了实现利益最大化所能运用的一个附加手段”(1995: 25)。

在此定义下,利益相关者管理只能是企业战略的一部份,而绝不会成为企业战略的驱动力。 利益相关者战略管理亦含蓄地表达了这样的观点:如果所采取的管理模式被证明无益于企业的盈利目的,或者某一相关者资源对企业不再重要,那么企业将毫不犹豫地放弃对其进行战略管理。 只有当利益相关者对企业具有战略价值时,利益相关者管理才会进入企业的决策过程。


利益相关者战略管理模型又具体分为:直接影响模型(Direct Effects Model适度模型(Moderation Model)。 所谓直接影响模型,就是管理人员对于利益相关者的行为态度,对企业的财务绩效、公司战略直接发生影响。 而在适度模型下,利益相关者管理对企业的战略与财务绩效发生调和作用,从而间接影响企业战略。
