智慧资本

智慧资本可以说是那些在传统资产负债表上没有反映的价值创造因素，它们对公司的长期收益至关重要。

什么是智慧资本评级？ 释义

智慧资本评级是通过一个新的角度、一个新的方法来衡量公司的智慧资本、智慧资产，正是它们决定了知识型公司为其利益集团创造价值的能力。

智慧资本评级为公司管理人员优化组织竞争力提供了一个基础，其具体作用如下：

• 以长期收益最大化为目标、并且目标清晰易测的现代化企业控制系统的基础， 对这一目标的衡量分析是可重复的；

• 企业管理与运营不断提高、进行变革的基础， 当变革决定作出之后，提高改善的领域很容易被确定；

• 创造价值的智慧资产的结构图，不仅可以用于市场沟通活动（如用于处理投资者关系、发布企业年报），而且还是一项有效的组织沟通工具，它能够在组织内部生成一个新的基础、产生一种新的语言，这对于企业开展经营活动是非常重要的。

智慧资本评级的应用

• 价值评估。 不管是买进还是出售一个公司，智慧资本评级都将为评估其潜力提供无价的信息。
• 标杆分析。 当你准备对公司内部不同部门，或者不同公司进行比较的时候，智慧资本评级将为比较分析提供一个标准。
• 组织发展。 智慧资本评级的结果将探明组织需要提高、改善的领域，并且能够持续跟踪衡量不同时期的改善结果。
• 对外报告。 向外部提供更为透明的组织报告， 智慧资本评级是对传统财务报告的补充，提供了一个综合的、前瞻的组织形象。

智慧资本评级的优点

• 更好地理解非金融资产以及它们对于公司价值创造的重要性。
• 公司内部的一种共同语言，无形资产的一个管理系统。
• 更好地管理智慧资本。
• 增强公司对内、对外报告的透明度。
• 作为一则企业配方（Business Recipe），包含着在既定商业环境和市场条件下的公司创意和战略。 企业配方优势评估的一个主要方面就是观察一个公司在既定商业环境下是如何区别于其他企业的。
• 组织结构资本是公司员工努力将其个人知识经验转移给组织的结果。 它的载体是独立的员工，它全天候有效。
• 知识产权可以被定义为受保护的打包的知识。 包括专利、许可证、内部开发的软件用以提高竞争优势和临时垄断。
• 流程。 流程资本的作用在于帮助员工提高他们的知识和能力的财务回报。 这一目标通过提高人力资本条件、关注其核心竞争力来实现。 流程资本的典型例子有精心开发的工作流程和方法、IT支持、重复利用的竞争力、组织效能，等等。
• 人力资本包括效力于公司的所有人员。 公司对这部分资产只能通过有限的措施如工作合同，实施有限的控制。
• 管理对公司智慧资本的发展全面负责，通过优化管理，为公司股东和其他利益相关者创造价值。
• 员工。 员工利用他们的知识与经验来满足公司客户需求，并将其个人知识融入可以重复再用的公司结构、流程，从而能够被公司内部的其他人员汲取利用。 相关控制因素有竞争性工资、令人满意的工作环境。
• 关系结构资本。 公司商业环境下的各种利益集团是这一结构资本的主要贡献者。 它包括与业务伙伴、公司需求的外部供给者之间的联系，同时也包括社会声誉、客户潜力等成分。
• 网络。 公司网络包括对公司长远利润目标至关重要的各种网络关系。 不包括当前客户。 网络的例子是补充、销售、能力和研发网络。 这些关系在很大程度上决定着网络的效能。
• 品牌的建立，通过在目标市场上的认知度和美誉度来实现。公司可以通过有效管理这一过程，使自己尽可能区别于其他竞争对手，从而建立自己的品牌。 具体方法有将品牌与产品或服务的价值相联系，并不断巩固、加强它们之间的这种联系。
• 顾客。 除了是公司的收入之源，顾客还有其他方面的积极作用。 例如，他们也能够为公司就如何提高各种能力（如吸引新客户、合作者）提供参考作用。 对公司来说，与此相关的最重要的能力就是吸引并能够保持顾客。
• 智慧资本。 企业配方为智慧资本的其他各个方面提供运作条件。 在对公司评估过程中，其商业概念、经营战略都会被从其他各项资本中合理地识别、独立出来，但是这种评估却是在企业配方框架下来考量人力资本和结构资本的。 因而，可以说，公司的智慧资本价值就是其企业配方优势与人力资本、结构资本效能的结合。
