什么是横向整合？ 释义

与Vertical Integration[垂直整合]一样， 横向整合（Horizontal Integration）也是公司在考虑采取战略行动时的一个选择， 横向整合意思就是公司在价值链的同一层面上获取、整合经营业务。 这可能意味着：

• 收购生产类似产品的业务，以便在产生协同效应的同时，还能够产生一定程度的产品多样化。 例如，只要根据同一基本市场信息，就可以生产各种花色不一的糖果。
• 收购生产替代产品的业务， 由此公司就能够克服Porter五力模型中提到的替代品威胁。 例如，佳能公司进入数码相机生产领域。
• 收购竞争对手。 由此就可以减弱竞争威胁。
• 生产顾客“期望的”的产品系列。 例如，微软的办公软件系列即是应用这一战略。

横向整合的优势 优点

• 经济规模。
• 协同效应。 经济范围。
• 防御替代产品。
• 减弱竞争威胁。
• 满足客户期望。
• 增强协商能力。 面对强势的供应商或客户，企业抗衡能力得到增强。

横向整合的局限。 缺点

• 协同效应可能并不真实。 一个著名例子是SAAB用其汽车和航空器。
• 替代品市场往往有太多的不同之处， 所以要想把并购活动最终转变为成功的生产经营活动，对管理团队来说是一个巨大的挑战。
• 减弱竞争，乃至于独家经营，不可避免有垄断之嫌，当心官司缠身。
